Appointment of directors

Will an offer to join the board made on the golf course suffice? What are the legal and other requirements?

Process

The process for appointing a director is straightforward but appointing a pal on the golf course on the spur of the moment is unlikely to fulfil your duties as a director. All appointments must be carefully considered and made in the company’s best interests, meeting any criteria set out in the articles and legislation.

There are certain administrative boxes that need to be ticked, principally registering the appointment at Companies House.

Deadline

Companies House must usually be notified of a new appointment, or any change in a director’s registered details, within 14 days.
